40D is very good semi-pro camera. Fast AF, generally it's fast camera and better than 350d. a lot of people recommend it. on the other hand lenses are most important

but If I were you I would take 40d

or maybe 450dKIT + 50mm f1.8?
you have to know what focal lenght you need and what is most important in you camera body

Yeah i'm agree with ciemak, 40D is obviously superior (the 50D is out since a while too ..)
Think about what you want to shout, what kind a photo you want to make, to decide which lens you need!

Personally if it were me, i woudl stick to the 350d for now and go for the better lens. if you know how to use it, you can do alot with it. and the lens is what matters when it comes to photo quality. it really also depends on what you want to do with your photography. though a nice inexpensive upgrade would be to go for a slightly used 400d and a good L lens. but of course if you dont need professional quality, then that 70-300 IS lens should be just as good for you.
